iBaguette Revenue Sharing Agreement

The below Agreement is executed between the iBaguette Platform and the Content Creator. The Agreement is effective as of the date of the Content Creator’s acceptance of the Agreement. The Agreement is subject to change at any time and will be updated on the iBaguette website. The Content Creator will be notified of any changes via email.

The Agreement is preceded by the iBaguette Terms of Service and Privacy Policy. The Terms of Service and Privacy Policy are incorporated into the Agreement by reference. The Content Creator must agree to this before uploading content to the iBaguette website. The Terms of Service are available at https://terms.ibaguette.com.

IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU WILL BE PERMANENTLY INELIGIBLE TO RECEIVE REVENUE FROM THE UPLOADED CONTENT ON THE IBAGUETTE WEBSITE.

By agreeing to the Revenue Sharing Agreement, you agree to the following terms:

1. Content Ownership and Rights

1.1. Content Ownership

The Content Creator hereby affirms and guarantees that they are the rightful owner of all content uploaded to the iBaguette website. The Content Creator waives all copyright and other intellectual property rights associated with the uploaded material.

1.2. No Infringement

The Content Creator further affirms that the uploaded content does not infringe upon the rights of any third party and is an original creation.

2. License Grant

2.1. License

The Content Creator grants the Platform a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the uploaded content to operate and promote the iBaguette platform.

2.2. Responsibility

The Content Creator acknowledges that any unauthorized use or infringement of third-party rights in the uploaded content is their sole responsibility.

3. Public Availability

By default, uploaded content may be made publicly available on the iBaguette website. The Content Creator has the option to request the removal of content from the website within 24 hours by notifying the Platform via email or selecting the “Opt-out” option, or similar when uploading content.

4. Revenue Sharing

4.1. Notification

Content uploaded to the iBaguette website may be subject to a Revenue Sharing Agreement. The Platform will notify the Content Creator via email or before uploading the content to the website if it is subject to such an agreement.

By agreeing to the Revenue Sharing Agreement, the Content Creator agrees to the following terms:

5. Revenue Distribution

5.1. Revenue

The Platform will distribute revenue generated from the uploaded content to the Content Creator per the Revenue Sharing Agreement.

5.2. Payment

The Platform will pay the Content Creator via PayPal, Stripe, or other payment methods agreed upon by the Platform and the Content Creator.

5.3. Payment Schedule

The Platform will pay the Content Creator monthly.

5.4. Payment Threshold

The Platform will pay the Content Creator when the revenue generated from the uploaded content exceeds £10 (ten pounds sterling). The Platform will hold the revenue until the threshold is met.

5.5. Payment Fees

The Platform will pay all payment fees associated with the payment method. The Content Creator will not be charged any fees.

6. Modification and Termination

6.1. Modification

The Platform reserves the right to modify the Revenue Sharing Agreement at any time. The Platform will notify the Content Creator of any changes via email or by other means. This Agreement will be updated on the iBaguette website at https://terms.ibaguette.com/revenue-sharing-agreement. Emails are not guaranteed to be delivered and the Platform is not responsible for any failure to receive an email.

6.2. Termination

The Platform reserves the right to terminate the Revenue Sharing Agreement at any time without prior notice. It is the Content Creator’s responsibility to check the iBaguette website for any updates to the Revenue Sharing Agreement.

7. Miscellaneous

7.1. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.

7.2. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of this Agreement will remain in full force.

7.3. Governing Law

This Agreement will be governed by and construed under the laws of the United Kingdom.

7.4. Jurisdiction

Any dispute arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of the United Kingdom.

7.5. Assignment

The Content Creator may not assign or transfer any of their rights or obligations under this Agreement without the prior written consent of the Platform.

7.6. Waiver

The failure of either party to enforce any provision of this Agreement will not constitute a waiver of that party’s right to enforce such provision or any other provision of this Agreement.
